Hong Kong Design Studio (HKDS) Retailing Verifiable Commercial System License Agreement

In this license all the expressions shall have the following meanings: "Customer" shall mean you and all other persons who purchase the product. "Intellectual Property" shall mean all intellectual property rights of whatsoever nature, including (without limitation) patents, designs, present and future trademark or copyright, whether or not registered or registrable by any means, and the right to file an application for registration thereof. "RVCS" shall mean Retailing Verifiable Commercial System Series for sale by Hong Kong Design Studio. RVCS sold by Hong Kong Design Studio are sold subject to these License Agreement.

1.INTELLECTUAL PROPERTY.Customer may not install RVCS simultaneously in more than one workstation per license. You may not rent, lease or sell the software product. Redistributions in any form of RVCS are strictly prohibited. You may not reverse-engineering or decompile the software product. All rights, title and interest in all Intellectual Property in all concepts, systems, written scripts and other material relating to RVCS shall at all times remain the property of Hong Kong Design Studio. Hong Kong Design Studio and / its entrepreneur own the trade marks, logos and service marks displayed on www.hkds.net and/or in connection with RVCS and Customer and on-line visitors are prohibited from using the same without the written permission of Hong Kong Design Studio or such belonger.

2.WARRANTIES.To the extent permitted by law, all warranties, descriptions, representations or advice given as to the fitness or suitability for any purpose, tolerance to any conditions, similarity to sample, merchantability or otherwise of RVCS supplied, are expressly excluded. No agent or representations or statements regarding the product and Hong Kong Design Studio shall not in any way be bound by any such unauthorised warranties,representations or statements.

3.LIABILITY.The liability of Hong Kong Design Studio whether in contract, tort or otherwise for any loss, damage or injury arising directly or indirectly from any defect in or non-compliance of RVCS or any other breach of Hong Kong Design Studio's obligations hereunder shall not in any event exceed an amount equivalent to the price of the product. The Customer shall ensure that RVCS are not used for which they are not suitable and shall be responsible for using all necessary skill and care in handling and using RVCS. The Customer expressly acknowledges and agrees that Hong Kong Design Studio assumes no obligation or liability for any advice or information given with the product and Hong Kong Design Studio shall not be responsible for any inaccuracy or misstatement of any such information. The product shall be accepted by the Customer entirely at the Customer's risk. Hong Kong Design Studio reserves the right to amend these License Agreement in its sole discretion. Hong Kong Design Studio may, but does not undertake, to notify the Customer of such changes. It is the Customer's responsibility to review the License Agreement. Hong Kong Design Studio shall not be liable for any consequential, indirect or direct damage or loss of any kind whatsoever nor shall Hong Kong Design Studio be liable for any damage or loss caused by the Customer's servants, agents, buyers or other persons whatsoever.

4.AUTHORISED PARTIES.This products is developed in LAMP environment includes software developed by the Linux, Apache Software Foundation, MySQL Database and Pre-Hypertext Processing All rights reserved. Hong Kong Design Studio is legitimate entity under APPLICABLE LAW.These License Agreement shall be governed by the laws of the Hong Kong Special Administrative Region and the Customer and Hong Kong Design Studio agree to submit to the jurisdiction of the courts.
